Acceptance at sign-up. By creating an EduAI account, clicking “Subscribe” or another acceptance button, or checking a box stating that you agree to these Terms, you enter into a binding agreement with British University LLC. If you are accepting on behalf of an organisation, you confirm that you have authority to bind that organisation.
Please read these Terms before creating an account or using EduAI.
1. About These Terms
1.1 These Terms & Conditions of Service (“Terms”) govern access to and use of EduAI, including the web application, dashboards, administrative tools, AI-enabled functions, storage, AI credits and related services made available by British University LLC (“British University”, “we”, “us” or “Provider”).
1.2 “Customer” or “you” means the individual or legal entity that creates or pays for the subscription. “Authorised User” means a person whom the Customer permits to use EduAI, including administrators, employees, teachers, instructors, students or participants.
1.3 These Terms apply together with the subscription details shown at checkout, any order form accepted by us, and any privacy notice or data-processing terms expressly incorporated into the service. If you purchase a separately negotiated institutional plan under a signed agreement, that signed agreement prevails to the extent of any conflict.
1.4 If you use EduAI as a consumer, nothing in these Terms limits any mandatory consumer rights that cannot lawfully be excluded.
2. What EduAI Provides
2.1 EduAI is a digital education and learning-management platform designed to help users organise and manage institutions, programmes, courses, cohorts, classes and personal teaching groups.
2.2 Depending on your subscription and configuration, EduAI may allow you to:
- create and manage institutions, departments, programmes, courses, groups, cohorts and personal classes;
- create and administer student, teacher, instructor and staff accounts;
- record, import, manage and report attendance, grades, assignment results and related academic information;
- use dashboards and reports for academic and administrative monitoring;
- generate or assist with educational materials through AI-enabled tools; and
- use AI-assisted review or assessment functions that produce draft feedback, rubrics, summaries, classifications or indicative scores.
2.3 EduAI is a technology and educational administration tool. It does not replace your academic governance, safeguarding duties, professional judgement, legal obligations or responsibility for decisions affecting students or staff.
3. Subscription Plans, AI Agents and Included Allowances
3.1 EduAI is offered through a one-month signup trial and the two standard paid packages below. A separate launch promotion may be available to the first 1,000 eligible institutions.

3.2 Standard AI Agents may include the Presentation Generator Agent, Session Planner Agent and Assessment Agent. We may improve, rename, replace or update an agent where this does not materially reduce the paid functionality of your subscription during a prepaid period.
3.3 Custom AI Agents are optional add-ons, separately configured and built for a Customer’s specific organisation or teaching needs. A Custom AI Agent costs 300 GEL as a one-time setup fee plus 49 GEL per month. It is not included in any promotional package.
3.4 The standard Core platform has no AI allowance. The Full package includes 8,000 AI credits per monthly cycle. The launch AI offer includes Full package functionality with a cap of 2,000 AI credits per monthly cycle for twelve months and is limited to the first 1,000 eligible institutions. Monthly included credits expire at the end of their cycle and do not roll over. AI credits are usage units consumed by eligible AI-enabled functions. The Platform may show the applicable credit cost before or during use of a feature.
4. Storage and AI Credit Add-ons
4.1 You may increase your storage allocation through available paid add-ons. Unless a different price is shown at checkout:
- 10 GB storage allocation: additional 29 GEL per month.
- 100 GB storage allocation: additional 250 GEL per month.
4.2 Additional AI credits may be purchased as needed in blocks of 2,000 credits for a one-off 29 GEL payment per block. Separately purchased top-up credits do not expire, do not roll over because they are not monthly credits, and remain available until used.
4.3 Your account dashboard may display your current storage use and AI-credit balance. The dashboard and billing interface identify which credits are monthly, trial, or separately purchased top-up credits and show their applicable expiry and rollover rules.
5. Signup Trial and Launch Offer
5.1 Each eligible new institution receives 2,000 AI credits once when its institution account is created. The signup trial lasts for the first month, does not require payment, does not repeat, and the trial credits expire when that month ends. This free trial is separate from the launch promotion.
5.2 After the signup trial, the Customer may choose the 49 GEL Core platform or the 196 GEL Full package. During the launch period, an institution among the first 1,000 eligible institutions may instead qualify for the launch AI offer. Paid plan activation and checkout are subject to the payment options made available by EduAI.
5.3 The launch AI offer costs 49 GEL per month for the first twelve monthly cycles and provides Full package functionality with a maximum of 2,000 AI credits per cycle. From month 13, the promotional price and allowance end. To continue using the full standard AI agent bundle, the Customer must move to the 196 GEL Full package; otherwise the 49 GEL Core platform remains available without AI features.
5.4 The Full package supplies 8,000 credits for each monthly billing cycle. Unused monthly credits expire at the end of that cycle and do not roll over. Separately purchased 2,000-credit top-ups cost 29 GEL per block and do not expire.
6. Billing, Renewal, Taxes and Payment
6.1 Subscription fees and add-ons are charged according to the billing cycle and prices displayed at checkout or in your account. Unless otherwise stated, recurring monthly services renew automatically for successive monthly billing cycles until cancelled.
6.2 You authorise us and our payment provider to charge the payment method you provide for recurring subscription fees, add-ons, taxes and other authorised purchases.
6.3 Prices are stated in GEL unless another currency is expressly displayed. Applicable VAT or other mandatory charges will be handled as shown at checkout and as required by law.
6.4 If a payment is overdue or fails, we may retry payment, restrict paid functionality or suspend access after reasonable notice where practicable.
6.5 Except where required by law or expressly stated in a promotion, order or refund policy shown at purchase, fees already paid are non-refundable. This does not affect mandatory rights under applicable law.
7. Licence and Permitted Use
7.1 During an active subscription, British University grants you a limited, non-exclusive, non-transferable, non-sublicensable and revocable right to access and use EduAI solely for your own internal educational and administrative purposes and within the limits of your subscription.
7.2 You may use EduAI only to manage: (a) your own institution or organisational unit; (b) programmes, courses or training delivered by you; and/or (c) personal classes or teaching groups administered by you.
7.3 You may charge ordinary tuition, course, training or participation fees for your own educational services. This does not constitute resale of EduAI.
7.4 You must not, directly or indirectly:
- sell, resell, rent, lease, sublicense, distribute, white-label or commercially provide EduAI as a standalone product or service;
- use your subscription to administer an unrelated third-party institution on that third party’s behalf for a platform-access fee;
- permit another institution, company or person to use your subscription except as an Authorised User within your own educational activities;
- copy, modify, translate, reverse engineer, decompile, disassemble, scrape or attempt to derive source code, system prompts or confidential platform logic, except to the extent a restriction is prohibited by mandatory law;
- use automated means to extract substantial parts of EduAI, bypass usage limits or security controls, or interfere with operation of the Platform;
- use EduAI or Provider Materials to train, benchmark for publication, develop or improve a competing software or AI product without our prior written consent; or
- remove or obscure proprietary notices, branding or attribution embedded in EduAI.
8. Accounts and Customer Administration
8.1 You are responsible for providing accurate account information, keeping credentials confidential, assigning appropriate roles and permissions, and disabling access when an Authorised User no longer requires it.
8.2 If you administer EduAI for an institution, you are responsible for determining which users are authorised to access student, staff, grade, attendance, assessment or other restricted information.
8.3 You are responsible for activity performed through your accounts except to the extent caused by our breach of these Terms or failure of EduAI’s security controls.
8.4 You must notify us promptly if you become aware of suspected unauthorised access, compromised credentials, unlawful use or a security incident relating to EduAI.
9. Acceptable Use and Customer Responsibilities
9.1 You must use EduAI in compliance with applicable law, educational regulations, intellectual property rights, privacy obligations, safeguarding duties, your internal policies and these Terms.
9.2 You are responsible for the accuracy, lawfulness and appropriateness of Customer Data and Customer Content and for having the notices, permissions, consents or other lawful bases required to upload and process that information through EduAI.
9.3 You must not use EduAI to create, upload, transmit or store material that is unlawful, abusive, discriminatory, defamatory, infringing, malicious, fraudulent, sexually exploitative, or designed to facilitate academic dishonesty, cyber abuse or other unlawful activity.
9.4 You must configure access according to the principle of least privilege and give Authorised Users appropriate instructions on lawful, safe and responsible use of EduAI and its AI Features.
10. AI Features and Academic Decision-Making
10.1 AI-generated content may be incomplete, inaccurate, outdated, biased or unsuitable for a particular educational context. You and your Authorised Users must review AI-generated content before relying on, publishing or distributing it where accuracy or appropriateness is material.
10.2 Any assessment, score, classification, feedback or recommendation produced by an AI Feature is assistive and indicative unless you have separately established a lawful, transparent and appropriately safeguarded automated decision-making process.
10.3 Where an academic or administrative decision may have a legal or similarly significant effect on a student or another individual—including final grades, progression, certification, admission, disciplinary action, scholarship decisions or termination of enrolment—you must ensure meaningful human review and an appropriate opportunity to correct relevant facts and challenge the decision unless applicable law expressly permits a different process.
10.4 You remain responsible for curriculum, assessment design, grading standards, academic integrity rules, student progression decisions and compliance with accreditation, professional or regulatory requirements.
10.5 You must not intentionally submit confidential third-party information, special-category personal data or other highly sensitive information to an AI Feature unless the processing is necessary, lawful and authorised and the relevant configuration is appropriate for that data.
11. Personal Data, Privacy and Minors
11.1 Each party must comply with the Law of Georgia on Personal Data Protection and any other data-protection law applicable to its processing in connection with EduAI.
11.2 For personal data contained in Customer Data and processed by British University solely to provide EduAI, the Customer generally acts as controller and British University acts as processor, unless the parties’ actual processing roles require a different legal characterisation.
11.3 British University may act as an independent controller for limited account administration, contracting, billing, security, fraud prevention, legal compliance and service-support data processed for its own legitimate purposes, subject to applicable law.
11.4 Where Customer Data relates to minors, you are responsible for identifying and documenting the appropriate lawful basis, providing age-appropriate privacy information, obtaining parental or legal-representative consent where required, and protecting the best interests of the minor.
11.5 The Data Processing Terms in Schedule A form part of these Terms where British University processes personal data on your behalf.
12. Customer Content, Generated Outputs and Intellectual Property
12.1 “Customer Content” means course materials, prompts, assignments, documents, presentations, images, text and other content supplied by you or your Authorised Users. “Customer Data” includes information and records submitted to, stored in or generated through EduAI on your behalf.
12.2 As between the parties, you retain the rights you have in Customer Data and Customer Content. You grant us a limited right to host, copy, process, transmit and otherwise use that material only as necessary to provide, secure, support and improve your use of EduAI in accordance with these Terms and applicable law.
12.3 British University and its licensors retain all rights, title and interest in EduAI, including the software, databases, interfaces, workflows, system prompts, templates, documentation, branding, methodologies, know-how, updates and improvements (“Provider Materials”).
12.4 Subject to applicable intellectual property law and third-party rights, you may use, edit, reproduce and distribute outputs generated through EduAI for your own educational, administrative and institutional purposes, including distribution to your students and staff.
12.5 We do not warrant that AI-generated outputs are unique, protectable by copyright, non-infringing or suitable for registration as intellectual property. Similar outputs may be generated for other users.
12.6 Unless separately agreed in writing, we will not use Customer Content or Customer Data to train a general-purpose AI model for use outside the provision and improvement of your contracted EduAI service, and we will not authorise an AI subprocessor to do so on our behalf.
12.7 We may use voluntary feedback, suggestions and feature requests to improve EduAI, provided we do not disclose your Confidential Information in doing so.
13. Confidentiality
13.1 Each party must protect non-public commercial, technical, academic, financial and operational information disclosed by the other party that is identified as confidential or would reasonably be understood as confidential (“Confidential Information”).
13.2 Confidential Information may be used only as necessary to provide or receive EduAI services and may be disclosed only to personnel, contractors and professional advisers who need to know it and are subject to appropriate confidentiality obligations.
13.3 Confidential Information does not include information that is publicly available without breach, lawfully known without restriction before disclosure, independently developed without use of the Confidential Information, or lawfully obtained from a third party without confidentiality restriction.
13.4 A party may disclose Confidential Information where required by law or a competent authority, subject to prior notice where legally permitted and disclosure only to the extent required.
14. Security, Availability and Changes to EduAI
14.1 We will maintain reasonable technical and organisational measures appropriate to the nature of EduAI and the risks of processing, including access controls and measures supporting confidentiality, integrity and availability.
14.2 We use commercially reasonable efforts to maintain availability but do not guarantee uninterrupted or error-free operation. Availability may be affected by maintenance, internet or cloud-provider failures, third-party AI services, force majeure or circumstances beyond our reasonable control.
14.3 We may make changes required for security, legal compliance, interoperability, performance or product development. Where practicable, we will provide reasonable notice of changes that materially affect ordinary paid use.
14.4 We may suspend access where reasonably necessary to address a security threat, unlawful use, material breach, non-payment, risk to other users or EduAI, or a legal requirement. Where circumstances permit, we will provide notice and a reasonable opportunity to remedy the issue.
15. Third-Party Services and AI Providers
15.1 EduAI may depend on or interoperate with third-party cloud, authentication, communications, analytics, payment or AI services. We remain responsible for our obligations under these Terms but are not responsible for a third-party product that you choose and contract directly.
15.2 Where a third-party provider processes Customer Data on our behalf, the Data Processing Terms in Schedule A apply.
16. Support
16.1 Standard support is available through the support channel identified on the EduAI website or within the Platform. Standard support covers reasonable assistance with access, Platform functionality and technical issues.
16.2 Standard support does not include your internal IT administration, custom development, curriculum design, legal or regulatory advice, or dedicated service levels unless separately purchased or agreed.
17. Cancellation, Suspension and Termination
17.1 You may cancel a recurring subscription through the account or billing interface where available, or through the cancellation method identified on the EduAI website. Unless mandatory law or your order states otherwise, cancellation stops future renewal and access continues until the end of the paid billing period.
17.2 We may terminate or suspend access for material breach if you fail to remedy a remediable breach within fifteen (15) business days after written notice. We may act immediately where continued provision would be unlawful, create a material security or data-protection risk, or involve fraud, unlawful conduct, infringement, unauthorised resale or operation of a competing service.
17.3 Termination does not affect accrued rights or payment obligations. Provisions that by their nature should survive—including confidentiality, intellectual property, restrictions on misuse, liability, dispute resolution and applicable data return/deletion duties—continue after termination.
18. Data Return and Deletion
18.1 On expiry or termination, we will, in accordance with your lawful instructions and applicable law, return Customer Data in a reasonably available export format or securely delete Customer Data processed on your behalf, and delete copies unless retention is required by law.
18.2 You should export records you are legally required to retain before termination where EduAI provides a self-service export function. We may charge our then-current rates for substantial manual transition or export work requested by you.
19. Warranties and Disclaimers
19.1 We warrant that we have authority to provide EduAI and will provide the service with reasonable care and skill and substantially in accordance with applicable Platform documentation.
19.2 To the maximum extent permitted by law, EduAI and its AI Features are otherwise provided on an “as available” basis. We do not warrant that all generated content will be accurate, complete, original, unbiased or fit for a particular academic, legal or regulatory purpose.
19.3 Nothing in these Terms excludes warranties, remedies or rights that cannot lawfully be excluded or limited.
20. Liability
20.1 To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, punitive or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill or business opportunity.
20.2 Subject to Section 20.3, each party’s aggregate liability arising out of or relating to EduAI in any twelve-month period will not exceed the fees paid or payable by the Customer for EduAI during that twelve-month period.
20.3 Sections 20.1 and 20.2 do not apply to liability that cannot lawfully be limited, or to fraud, wilful misconduct, unauthorised resale, infringement or misappropriation of the other party’s intellectual property, or intentional/grossly negligent breach of confidentiality.
20.4 You are responsible for educational and administrative decisions made using Platform information or AI-generated outputs, including ensuring appropriate human review before consequential decisions are finalised.
21. Changes to These Terms and Pricing
21.1 We may update these Terms to reflect product changes, security needs, legal or regulatory requirements, or changes in our business. We will post the updated Terms and identify the effective date.
21.2 If a change materially affects an active paid subscription, we will provide reasonable notice where required by law. Material price changes to recurring subscriptions will apply no earlier than the next renewal or billing cycle after any required notice, unless you expressly agree otherwise.
21.3 Promotional prices and temporary offers may have separate eligibility and duration rules displayed at checkout. Those rules apply in addition to these Terms.
22. Notices and Contact
22.1 Operational notices may be delivered through EduAI, by email to the address associated with your account, or through the contact details shown on the EduAI website.
22.2 Formal notices to British University should be sent using the legal or support contact details provided in your order form, subscription details or the current EduAI website.
22.3 You are responsible for keeping your account email and contact information current.
23. Governing Law and Disputes
23.1 These Terms and any non-contractual obligations arising from them are governed by the laws of Georgia.
23.2 The parties will first attempt in good faith to resolve a dispute through authorised representatives. If a dispute is not resolved within thirty (30) calendar days after written notice, either party may bring proceedings before the competent courts of Georgia, with venue in Tbilisi where legally permissible.
24. General
24.1 You may not assign or transfer your subscription or rights under these Terms to another institution or person without our prior written consent. We may assign these Terms to an affiliate or successor in connection with a reorganisation, merger or transfer of the EduAI business, provided the assignee assumes our obligations.
24.2 Neither party is liable for delay or failure caused by events beyond its reasonable control, including widespread internet or cloud outages, natural disasters, war, civil disturbance, governmental restrictions, labour disruption or failures of critical third-party infrastructure, provided reasonable mitigation steps are taken.
24.3 If any provision is held invalid or unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder of these Terms continues in effect. Failure or delay in exercising a right is not a waiver of that right.
24.4 These Terms, your checkout subscription details, Schedule A and any accepted order form constitute the agreement for EduAI. A separately signed agreement or amendment prevails to the extent of any conflict.
SCHEDULE A
Data Processing Terms
A.1 Scope and Roles
These Data Processing Terms apply where British University processes personal data on behalf of the Customer in connection with EduAI. The Customer is the controller and British University is the processor for Customer Data processed on the Customer’s documented instructions, except where applicable law determines otherwise. The Customer’s instructions consist of these Terms, the Customer’s lawful use and configuration of EduAI, and any additional written instructions agreed by the parties.
A.2 Processing Details
Subject matter
Provision, hosting, maintenance, support and security of EduAI and the educational-administration and AI-enabled functions selected by the Customer.
Duration
For the subscription term and any legally required period needed to return or delete data.
Purposes
User/account administration; course/group management; attendance and grade management; reporting; assignment submission and review; AI-assisted content generation and assessment; support; security; backup and recovery; and other functions instructed by the Customer through EduAI.
Data subjects
Students/learners; applicants if configured; teachers/instructors; staff; administrators; parents/guardians where their details are provided; and other persons whose data the Customer lawfully submits.
Data categories
Identity/contact data; account identifiers; institution, course and group membership; attendance; grades and academic progress; assignments and submissions; teacher feedback; learning activity; usage/log data; communications/support data; and other data submitted by the Customer.
Special categories
Not required by default. If the Customer chooses to process special-category data, it must ensure a lawful basis, necessity, appropriate safeguards and an appropriate Platform configuration.
A.3 Processor Obligations
- British University will process personal data only on the Customer’s documented instructions unless required by applicable law.
- British University will ensure that persons authorised to process Customer Data are subject to appropriate confidentiality obligations and receive access only to the extent needed for their role.
- British University will maintain technical and organisational security measures appropriate to the risk and periodically review those measures.
- Taking into account the nature of processing and information available to it, British University will provide reasonable assistance with data-subject requests, data security obligations, incident response and data-protection impact assessments where required by law.
- British University will provide information reasonably necessary to demonstrate compliance with these Data Processing Terms, subject to protection of confidential information, security information and other customers’ data.
A.4 Subprocessors
The Customer provides prior written consent for British University to engage hosting, cloud infrastructure, communications, analytics, authentication, support, payment and AI technology providers as subprocessors where reasonably necessary to deliver EduAI. We will require subprocessors to protect personal data through written obligations materially consistent with applicable legal requirements and will remain responsible for our own obligations regarding delegated processing.
On request, we will provide information about material categories of subprocessors. Where reasonably practicable, we will notify the Customer of a material new subprocessor likely to materially affect the Customer’s data-protection risk and discuss any reasonable, legally grounded objection in good faith.
A.5 International Transfers
Where Customer Data is transferred to another state or an international organisation, British University will ensure that the transfer is made in accordance with applicable data-protection law and that required safeguards are in place.
A.6 Security Incidents
British University will notify the Customer without undue delay after becoming aware of a personal-data security incident affecting Customer Data and will provide reasonably available information necessary for the Customer to meet its legal obligations. The Customer is responsible for notifications to data subjects and supervisory authorities unless applicable law places that obligation directly on British University or the parties agree otherwise in writing.
A.7 Data Return and Deletion
On termination of the processing arrangement, British University will return or delete Customer Data in accordance with Section 18 and applicable law, unless retention is legally required.
A.8 Customer Obligations as Controller
- The Customer will ensure that its processing through EduAI is lawful, fair, transparent and limited to data necessary for legitimate educational or administrative purposes.
- The Customer will provide required privacy information to data subjects and, where relevant, obtain and document valid consent or another lawful basis for processing.
- For minors, the Customer will implement age-appropriate privacy practices and obtain consent of a parent or legal representative where required by law.
- The Customer will determine whether intended AI-assisted or automated decision-making requires a data-protection impact assessment, additional transparency, consent, human review or other safeguards, and will not configure EduAI for solely automated consequential decisions unless lawful conditions are satisfied.
A.9 Data-Subject Requests and Access
If British University receives a request from a data subject relating primarily to Customer Data processed on the Customer’s behalf, we may refer the request to the Customer and provide reasonable assistance where legally permitted. We will not intentionally alter, correct, disclose, erase or port Customer Data in response to such a request except on the Customer’s documented instruction or where required by law.
We will limit access to Customer Data to personnel and subprocessors who require access to provide, secure or support EduAI. The Customer remains responsible for configuring EduAI so that it collects and retains only data reasonably necessary for the Customer’s educational and administrative purposes.
A.10 AI Processing of Personal Data
Where an AI Feature requires Customer prompts, assignments or related content to be sent to an AI technology provider acting as a subprocessor, that processing will be limited to provision of the relevant feature and remains subject to these Data Processing Terms.
Unless separately agreed in writing, Customer Data processed through AI Features will not be authorised by British University for use by an AI subprocessor to train a general-purpose model for unrelated customers or public use.
